These Terms of Service ("Terms") govern your access to and use of starlitedigitalstudio.com (the "Site") and the photography, video production, editing, podcast, branding, event coverage, content creation, consultation, and related services provided by Starlite Digital Studio (collectively, the "Services").

By accessing the Site, submitting an inquiry, requesting a quote, booking a consultation or session, signing a proposal or agreement, or using the Services, you agree to these Terms. If you do not agree, do not use the Site or Services.

1. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding agreement to book Services. If you act for a business, organization, event, or another person, you represent that you have authority to bind that party and to provide all instructions, approvals, materials, and permissions needed for the project.

2. Quotes, Proposals, and Project Agreements

Prices shown on the Site are starting estimates only and are not binding offers. Final pricing depends on project scope, production requirements, locations, staffing, equipment, travel, editing, licensing, deadlines, deliverables, and other project details.

A booking is not confirmed until Starlite Digital Studio accepts the project and any required proposal, service agreement, deposit, retainer, or initial payment has been completed. A project-specific proposal, estimate, contract, invoice, production brief, model release, or licensing agreement may contain additional terms. If a project-specific written agreement conflicts with these Terms, the project-specific agreement controls for that project.

3. Client Responsibilities

You agree to:

Provide accurate, complete, and timely project information, instructions, contacts, locations, schedules, approvals, and feedback.

Obtain all permissions, permits, licenses, venue approvals, property releases, model releases, parental or guardian consents, music or content rights, and other authorizations assigned to you under the project agreement.

Ensure safe, lawful, and reasonably accessible working conditions for our team and equipment.

Identify confidential, restricted, copyrighted, trademarked, or otherwise protected materials before production begins.

Attend scheduled sessions on time and ensure that required participants, products, locations, and materials are ready.

Review proofs and deliverables carefully and provide approvals or revision requests within the stated timeframe.

Delays, rescheduling, additional work, or costs caused by incomplete information, unavailable participants, unsafe conditions, access restrictions, weather, venue rules, late approvals, or changes in scope may result in added fees or revised delivery dates.

4. Payments, Deposits, and Taxes

You agree to pay all fees, deposits, retainers, travel charges, overtime, licensing fees, expenses, taxes, and other amounts described in the applicable proposal, agreement, or invoice. Unless a written agreement says otherwise, payments are due by the stated due date. We may pause production, withhold deliverables, revoke access to previews, or cancel future work when an account is past due, to the extent permitted by law.

Deposits and retainers reserve production time and may be nonrefundable as stated in the applicable project agreement. You are responsible for applicable sales, use, and similar taxes, excluding taxes based on our net income.

5. Cancellations, Rescheduling, and Delays

Cancellation, rescheduling, late-arrival, weather, force-majeure, and refund terms will be stated in the applicable proposal or project agreement. Unless that agreement states otherwise, deposits or retainers are not refundable after we have reserved time, declined other work, begun planning, incurred expenses, or performed Services.

If you request a change in date, location, scope, participants, creative direction, deliverables, or deadline, we may revise the schedule and price. We do not guarantee that the original team, date, location, or production plan will remain available after a rescheduling request.

6. Creative Direction, Revisions, and Acceptance

You acknowledge that photography, filmmaking, editing, color grading, sound design, animation, and storytelling involve artistic judgment. While we will consider your stated goals and approved creative direction, we do not guarantee that every creative preference, pose, image, moment, or result will be captured or included.

The number and scope of revisions, if any, will be stated in the project agreement. Requests outside the agreed scope, additional rounds, re-edits after approval, source-file preparation, or changes caused by new instructions may require additional fees and time. Deliverables are considered accepted when approved in writing or when the review period in the project agreement expires without a specific revision request.

7. Delivery, Storage, and Technical Limitations

Delivery dates are estimates unless expressly guaranteed in writing. We are not responsible for delays caused by the client, participants, venues, weather, third-party vendors, equipment or platform failures, internet outages, emergencies, or events outside our reasonable control.

Clients are responsible for downloading, reviewing, and securely backing up delivered files. We do not guarantee indefinite archiving of raw files, project files, previews, or final deliverables. Unless a project agreement states otherwise, we may delete files after delivery and expiration of the applicable storage period.

Despite reasonable care and backup practices, files or equipment may occasionally be lost, corrupted, stolen, damaged, or rendered unusable. Any remedy for such an event will be governed by the project agreement and the limitations in these Terms.

8. Intellectual Property and License

The Site, our branding, portfolio, text, graphics, designs, photographs, videos, audio, editing, templates, workflows, and other materials created or owned by Starlite Digital Studio are protected by intellectual property laws. Except as expressly allowed, you may not copy, reproduce, modify, distribute, sell, license, publish, display, scrape, or exploit Site content without our prior written permission.

Ownership and permitted use of project deliverables will be stated in the applicable project agreement. Unless that agreement expressly transfers copyright in writing, Starlite Digital Studio retains ownership of its work and grants the client only the license described in the project agreement. Raw footage, unedited images, source files, project files, templates, and working materials are not included unless specifically listed as deliverables.

You represent that you own or have permission to use all materials you provide. You grant us a limited license to use those materials as reasonably necessary to perform the Services. You are responsible for claims arising from materials or instructions you provide without sufficient rights or authorization.

Portfolio, promotional, and publicity use of client images, footage, names, logos, testimonials, or project details will be governed by the applicable project agreement, release, or written consent.

9. Recording and Participant Consent

You are responsible for informing participants when photography, video, or audio recording will occur and for obtaining any consent assigned to you under the project agreement or required by law. For minors, consent must be provided by a parent or legal guardian. We may decline to record or use material when required permissions are missing or unclear.

10. Text Message Terms

When you provide your mobile number and affirmatively consent, you agree to receive text messages from Starlite Digital Studio at the number provided. Messages may include inquiry responses, consultation follow-ups, appointment or session confirmations and reminders, project updates, requests for information, delivery notices, payment reminders, customer-care messages, and, only where separately authorized, promotional messages.

Message frequency varies. Message and data rates may apply. Consent is not a condition of purchase. Reply STOP to opt out at any time or HELP for assistance. You may also contact [email protected] or (925) 436-1717. Carriers are not liable for delayed or undelivered messages. Your use of the messaging program is also subject to our Privacy Policy.

11. Acceptable Use

You may not use the Site or Services to:

Violate any law or the rights of another person.

Submit unlawful, defamatory, infringing, deceptive, abusive, obscene, or malicious material.

Interfere with the Site, bypass security measures, introduce malware, scrape content, or attempt unauthorized access.

Misrepresent your identity, authority, rights, project purpose, or consent from participants.

Use deliverables outside the license granted in the applicable agreement.

We may refuse or discontinue Services for unsafe, unlawful, abusive, discriminatory, infringing, or materially misleading projects or conduct.

12. Third-Party Services

The Site or Services may rely on or link to third-party platforms for forms, communications, scheduling, payments, file transfer, hosting, social media, or other functions. We do not control third-party services and are not responsible for their availability, security, content, policies, or performance. Your use of them may be subject to separate terms.

13. Disclaimers

The Site and any general information on it are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Starlite Digital Studio disclaims all warranties not expressly stated in a signed project agreement, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee any particular business result, audience response, engagement, sales, revenue, publicity, search ranking, social-media performance, or other outcome from photographs, videos, branding, advertising content, or related Services.

14. Limitation of Liability

To the fullest extent permitted by law, Starlite Digital Studio and its owners, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, data, opportunities, goodwill, or use, arising from the Site or Services.

To the fullest extent permitted by law, our total liability arising from a project will not exceed the amount actually paid to Starlite Digital Studio for the specific Services giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

15. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Starlite Digital Studio and its owners, employees, contractors, and agents from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from your breach of these Terms or a project agreement; materials, instructions, or claims you provide; your misuse of the Site or deliverables; your violation of law or another person's rights; or your failure to obtain required permissions or releases.

16. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Unless a project agreement provides otherwise, any legal proceeding relating to these Terms or the Services must be brought in a state or federal court located in the California county where Starlite Digital Studio maintains its principal place of business, and each party consents to that jurisdiction and venue.

17. Changes to These Terms

We may revise these Terms from time to time by posting an updated version on the Site. The “Last Updated” date will identify the latest version. Changes apply prospectively when posted, except where applicable law requires additional notice or consent.

18. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations without our written consent. We may assign these Terms in connection with a business transaction or by operation of law. These Terms, together with the Privacy Policy and any applicable project agreement, constitute the entire agreement concerning their subject matter.
